Terms of service

Effective date: February 9, 2026

These Terms of Service ("Terms") govern your use of Agent Red Customer Experience ("Agent Red", "the Service"), operated by Remaker Digital, a DBA of VanDusen & Palmeter, LLC ("we", "us", "our").

By installing or using Agent Red, you agree to these Terms. If you do not agree, do not use the Service.

1. Service description​

Agent Red is an AI-powered customer service platform delivered as a Shopify app. The Service processes customer messages using AI agents and responds based on your configured knowledge base, policies, and preferences.

2. Eligibility​

You must be at least 18 years old and have authority to bind the entity on whose behalf you are using the Service.

3. Account and access​

  • You are responsible for maintaining the security of your API keys and account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must provide accurate contact information.

4. Acceptable use​

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to bypass rate limits, authentication, or tenant isolation
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Transmit malicious code through the Service
  • Use the Service to send spam or unsolicited messages

5. Subscription and billing​

  • Subscription plans are billed monthly or annually through the Shopify Billing API.
  • Conversations beyond your included allowance are billed at the overage rate for your tier.
  • Conversation packs, if purchased, are consumed on a first-in-first-out basis and expire after 90 days.
  • All fees are non-refundable except as required by applicable law.

6. Free trial​

All tiers include a 14-day free trial. You will not be charged during the trial period. If you do not subscribe before the trial ends, your access will be suspended.

7. Data and privacy​

  • We process customer conversation data on your behalf to provide the Service.
  • We do not sell your data or your customers' data.
  • Our data handling practices are described in our privacy policy.
  • You are responsible for ensuring your use of the Service complies with applicable data protection laws, including providing appropriate notice to your customers.

8. AI-generated content​

  • Responses generated by Agent Red are produced by AI models and may contain errors.
  • You are responsible for configuring your knowledge base, escalation rules, and safety policies.
  • The Service includes a content safety layer (Critic/Supervisor) that validates responses before delivery, but no AI system is infallible.
  • We do not guarantee the accuracy, completeness, or appropriateness of AI-generated responses.

9. Intellectual property​

  • You retain ownership of your data, knowledge base content, and brand assets.
  • We retain ownership of the Service, its technology, and all related intellectual property.
  • The open-source components of the platform are licensed separately under their respective open-source licenses.

10. Service availability​

  • We target the uptime levels described in our service level commitments but do not guarantee uninterrupted service.
  • We may perform scheduled maintenance with reasonable notice.
  • We are not liable for downtime caused by factors outside our control.

11. Limitation of liability​

To the maximum extent permitted by law, our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

12. Termination​

  • You may cancel your subscription at any time through the Shopify admin.
  • We may suspend or terminate your access if you violate these Terms.
  • Upon termination, your data will be retained for the grace period required by the applicable billing platform (48 hours for Shopify), after which it will be deleted.

13. Changes to these Terms​

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use after changes constitutes acceptance.

14. Governing law​

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.
